Terms of Service
The agreement between Modus Reservations and the businesses that run on it — plus the short set of terms that apply when a guest books a table through Modus.

1. The agreement
These Terms of Service (the "Terms") are a contract between you and Modus Reservations ("Modus", "we", "us") governing your use of the Modus platform, website, mobile applications, booking widget and related services (the "Service"). By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you are accepting on behalf of a business, you confirm you have authority to bind that business, and "you" means the business.
If you do not agree with these Terms, do not use the Service.
2. Definitions
- "Customer" — a business that holds a Modus account and uses the Service to run one or more venues.
- "Venue" — a restaurant, bar or other hospitality site a Customer manages through the Service.
- "Guest" — a person who makes, amends or cancels a booking with a Venue through the Service.
- "Customer Data" — data a Customer or its Guests submit to the Service: venue configuration, bookings, guest details, staff records, rotas and similar content.
3. The Service
Modus provides reservation and hospitality management software: online booking pages and an embeddable widget, table and floor-plan management, availability and seating logic, staff rotas and leave, payment and deposit handling via Stripe, notifications, and optional integrations including Google Calendar and Discord. Features vary by plan and evolve over time (see section 13).
Modus is a tool that Venues use to take bookings. We are not a party to the transaction between a Venue and its Guests: the Venue is responsible for honouring bookings, for its food, service, pricing, refund and cancellation policies, and for complying with the laws that apply to its business.
4. Accounts and eligibility
- You must be at least 18 years old and using the Service for business purposes to hold an account.
- You must provide accurate registration information and keep it up to date.
- New accounts are subject to review. Signup is open, but full access is granted only after we approve the account. We may decline or revoke approval at our discretion — for example where an account appears fraudulent or abusive.
- You are responsible for safeguarding your credentials and for all activity under your account, including the activity of staff members you invite. Tell us immediately at hello@modusreservations.com if you suspect unauthorised access.
5. Trials, subscriptions and fees
Free trial
New Customers may receive a free trial (currently 14 days). At the end of the trial, continued use requires a paid subscription; we do not charge you automatically unless you have entered payment details and agreed to a plan.
Subscriptions
Paid plans are billed in advance on a recurring basis at the prices shown when you subscribe. Subscriptions renew automatically until cancelled; cancelling stops future renewals but does not refund the current period except where the law requires. We may change plan pricing with at least 30 days' notice, taking effect at your next renewal.
Payments and deposits from Guests
Guest payments and deposits are processed by Stripe on the Venue's behalf and are subject to Stripe's terms. The Venue — not Modus — decides whether to take deposits, sets its amounts and refund policy, and is responsible for refunds and chargebacks.
Taxes
Fees exclude applicable taxes (such as VAT), which are added where required.
6. Customer data and guest bookings
- You own your data. Customer Data belongs to the Customer. We claim no rights over it beyond the licence needed to operate the Service: to host, process, transmit, display and back it up for you.
- We process guest and staff data on your behalf. For personal data inside Customer Data, the Customer is the controller and Modus the processor. We process it only to provide the Service, per our Privacy Policy and the service-provider list published there.
- Your responsibilities as controller. You must have a lawful basis to collect the guest and staff data you put into the Service, present your own privacy notice to your guests, and only send messages through the Service (email, Discord or otherwise) that you are entitled to send.
- Export and deletion. You can export your data while your account is active and may request deletion when it closes; we delete or anonymise Customer Data within a reasonable period after closure, except records law requires us to keep.
7. Terms for guests
If you are a Guest booking a table through a Modus booking page or widget: your booking is a commitment with the Venue, on the Venue's terms — including its deposit, cancellation and no-show policies, which the Venue is responsible for making clear to you. Modus transmits your booking and any confirmation, reminder or amendment messages on the Venue's behalf. Provide accurate contact details, and use the manage-booking links we send you to amend or cancel where the Venue's policy allows it. Questions about a booking, a refund or the Venue itself belong with the Venue; questions about the platform can come to us.
8. Acceptable use
You agree not to:
- use the Service to break the law, or to send spam or messages you are not entitled to send;
- submit false bookings, hold inventory in bad faith, or misuse another venue's booking pages;
- probe, scrape, overload or disrupt the Service, or bypass its rate limits and security measures;
- reverse engineer the Service or access it to build a competing product;
- resell or sublicense the Service without our written agreement;
- upload malicious code or content that infringes anyone's rights.
We may suspend or limit access where we reasonably believe this section is being breached, with notice where practicable.
9. Third-party services
The Service interoperates with third-party services — Stripe for payments, Google Calendar for two-way sync, Discord for bot commands and rota delivery, Google Places for address autocomplete. Connecting one is optional and subject to that provider's own terms. We are not responsible for third-party services, and an integration may stop working if the provider changes or withdraws its interface; we will use reasonable efforts to restore or replace affected functionality.
10. AI features
Some features use large language models to answer questions about your data (for example the Discord /ask command). AI output is generated automatically and may be inaccurate or incomplete — verify it before relying on it for business decisions. AI features are provided as part of the Service without any warranty as to accuracy, and our Privacy Policy describes how data flows to the AI provider.
11. The booking widget
Customers may embed the Modus booking widget on websites they own or control. You must not embed it in a way that misleads guests about who they are booking with, alter or obscure its "Powered by" attribution, or embed it on sites containing unlawful content. We may update the widget code at any time; the snippet is designed to keep working across updates.
12. Intellectual property
The Service — its software, design, and branding — is owned by Modus and its licensors. We grant Customers a limited, non-exclusive, non-transferable licence to use the Service for their business while these Terms are in force. If you send us feedback or suggestions, we may use them without restriction or obligation to you.
13. Availability and changes
We work to keep the Service available and performant, but it is provided without an uptime guarantee, and maintenance, third-party outages or events beyond our control may interrupt it. We may improve, change or discontinue features; if we discontinue something material to your use, we will give reasonable notice where practicable.
14. Disclaimers
The Service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, that availability calculations, seating suggestions or AI output will always be correct, or that guests will honour their bookings.
15. Limitation of liability
Nothing in these Terms limits liability that cannot be limited by law, including liability for death or personal injury caused by negligence, or for fraud.
Subject to that: neither party is liable for indirect or consequential loss, loss of profits, revenue, goodwill or data; and our total aggregate liability arising out of the Service in any 12-month period is capped at the fees you paid us for the Service in that period (or £100 if you have paid none). The Venue, not Modus, is responsible to Guests for the fulfilment of bookings.
16. Indemnity
Customers will indemnify Modus against third-party claims arising from their Customer Data, their breach of these Terms, or their venue's dealings with its guests and staff — including claims that data they submitted was collected or used unlawfully.
17. Term and termination
- By you: cancel your subscription or close your account at any time.
- By us: we may suspend or terminate an account that materially breaches these Terms, is not approved under section 4, creates security or legal risk, or has an unpaid subscription — with notice where practicable.
- Effect: on termination your access ends and section 6 governs your data. Sections that by their nature should survive (6, 12, and 14–20) survive termination.
18. Governing law
These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over disputes arising from them — except that consumers retain any mandatory protections and forum rights of their home country.
19. Changes to these terms
We may update these Terms as the Service and the law evolve. For material changes we will give Customers at least 30 days' notice by email or in the product; other changes take effect when posted with an updated date above. Continued use after a change takes effect means the updated Terms apply. If you do not agree to a change, stop using the Service and close your account before it takes effect.
20. General
- These Terms and the Privacy Policy are the entire agreement between us about the Service.
- If a provision is found unenforceable, the rest remain in force.
- A failure to enforce a provision is not a waiver of it.
- You may not assign these Terms without our consent; we may assign them as part of a merger, acquisition or sale of assets.
- Neither party is liable for delay caused by events beyond its reasonable control.
